Diana Kelly , President
of AMEC, 1988 to present. Diana is a co-founder of the Merritt
Mountain Music Festival, and has been its President since its
inception in 1992. In that capacity she has extensive expertise
in event management and operations developed over many years
in the music entertainment industry. The success of the Festival
reflects Diana’s skills and dedication to
the industry, which has also honoured her with numerous awards
and accolades over the years. Diana has also gained extensive connections
and understanding of the business community and environment of
the Merritt area.
Claude Lelievre , General Manager of AMEC, 1988 to Present. Claude
is a co-founder of the Merritt Mountain Music Festival, and has
been its General Manager since its inception in 1992. In that capacity
he has developed extensive expertise in event financing, management
and operations. He also has gained extensive connections and understanding
of the business community and environment of the Merritt area.
Claude has been the director of the land rezoning activities, engineering,
tests and surveys, and has successfully steered the property to
its present position ready for development.

Michael Knight , General Manager, Principal of Grant Capital
Corp. Extensive project management and financing experience in
numerous real estate, private and public companies. Along with
broad finance structuring and corporate development experience,
Michael brings a wealth of professional contacts that will ensure
the optimum structuring and success of this project.
Taryn Grant , Managing Director of Active Mountain Resort Inc.,
President and Director of Grant Capital Corp., a boutique financial
services brokerage and project facilitator. Taryn is a Licensed
Mortgage Broker, and brings valuable experience from working with
a number of sophisticated real estate developments and project
financings in recent years.
ACTIVE MOUNTAIN RACEWAY INC.
Keith Smout , Managing Director of Active Mountain Raceway Inc.,
President of Elite Motorsports Inc., 2001 to Present. Business
Development Director for British American Racing, 1999-2001. Responsible
for all sponsor acquisitions and programs, raised $16.7 million
in sponsorship; Commercial Director for Jaguar Racing, division
of Jaguar Motor Cars, 2001-2002. Responsible for sponsorship, marketing,
public relations, event planning and merchandising. Worked closely
with Former Formula 1 World Champion and Jaguar Director Sir Jackie
Stewart, signed three major sponsors totaling $5.5million per year;
Keith moved back to Canada to establish the Team Elite Racing program,
and worked with PK Racing, raising US$1.3 million for the team
in the 2003 CART Series. He is a principal of the Lotus GT1 racecar
team entered in the American Le Mans Series this year. Over the
past ten years Keith has made hundreds of valuable contacts in
the motor racing and sports marketing industry, and brings a wealth
of essential knowledge and experience to the management group.
ACTIVE MOUNTAIN RESORT - DEVELOPMENT HISTORY
The property lies
immediately to the southwest of the City of Merritt, in the heartlands
of beautiful British Columbia. The 1,000 acre resort is located
271 Kilometers (168 Miles) northeast of Vancouver and is reached
in 2 ½ hours using the Trans Canada
Highway #1 from the lower mainland, and connecting to the Coquihalla
Toll Highway #5 at Hope, and is only 4 hours from Seattle.
With easy access
from the Lower Mainland B.C. (population of 4.1 million), from
Alberta (2.1 million), and from Washington State (5.7 million),
Active Mountain Resort is perfectly positioned to become British
Columbia’s world class Motor Racing Resort.
What began as a vision
in 1989 has evolved to be a strategic comprehensive resort development
plan. The principals of Active Mountain Entertainment Corp. identified
that a large portion of this landmass was able to be separated
from the Agricultural Land Reserve. In 1997, subdivision work
was undertaken and within a short time, two new lots were created:
Lot A (148 acres), and Lot B (296 acres), each bordering the
City of Merritt. Within a few months of subdivision, Lot A was
annexed to the City of Merritt’s
Official Community Plan and a zoning application was successfully
passed on March 10, 1998.
Re-zoning applications commenced on Lot B and on October 5, 2000,
the T.N.R.D. (Thompson-Nicola Regional District) passed third reading
to rezone Lot B from RL-1 Institutional to C-10 Commercial Comprehensive
Entertainment. This new by-law is the first of its kind in British
Columbia and permits the development of a complete Motor Racing
Facility. Although Lot B is not yet annexed to the City of Merritt,
an agreement for water/sewer services to be provided by the City
of Merritt was finalized in October 2003.
Lot description and individual uses
Lot A (Midsboro Estates - 149 acres)
will house a premium Resort and Spa facility (comprised of 150
deluxe rooms/suites, the Golf Course with club house and pro-shop,
190 town homes, over 400 homes, a 350 seat Arts Theatre, a Filling
Lot B (296 acres)
zoned C-10 Commercial Comprehensive Entertainment will accommodate
the development of a Motor Sports racing facility comprising
a 2 ½ mile road course with all amenities, an
Automotive commercial centre, a Water Slide/Activity Park, a pub/restaurant/night
club, a 1,000 seat corporate meeting room facility, 40 corporate
chalets, and a number of food and non-food concession spaces and
public parking lots. It is nestled on a large hillside plateau
more than 450 feet above the City floor. The site is perfect for
positioning an exhilarating track with plenty of room for the ancillary
buildings, commercial activities and services for spectators.
The Remainder of
Lot B (505 acres) has received approval by the Thompson-Nicola
Regional District and the Provincial Agricultural Land Reserve
Commission (A.L.R.C.) on January 20, 2002 for “specific” non-agricultural
uses. The property is now ready for the installation/construction
of specific components relating to this commercial entertainment/activity
park including an 18 hole Golf Course covering 160 acres, a seven
acre man-made Lake (for recreation and irrigation purposes), public
parking areas, a Winery, a micro-Brewery, and a 350 pad partially
serviced "riverside" RV Park complete with administration
building, neighborhood pub/restaurant with beer & wine store
attached. As well, approval has been given for an 8,500 seat amphitheatre,
a 152 fully serviced pad RV park, and extended use for the Festival
The residential components will be constructed based on volume
of pre-sales. Variables prevail with respect to the construction
plans for the components noted in this document. They will be added
and confirmed upon proven commercial viability. The development
of the entire project has an anticipated completion date of 2010.
ANNUAL MERRITT MOUNTAIN MUSIC FESTIVAL

In 1992 the property was initially leased to accommodate the
rapidly growing annual country music festival. The beauty of the
site with its flowing river, surrounding clay banks, and rolling
landscape offers the perfect atmosphere for the annual event. With
an average rainfall of only twelve inches per year, Merritt is
the perfect climate for this impressive outdoor music event.
In 1996, AMEC purchased
the property to ensure a permanent home for the Merritt Mountain
Music Festival…now the finest country
music celebration in Canada. Last year’s 12th annual festival,
included a star-studded line-up, and had a record attendance of
128,000 people. A recent circular from the Nicola Valley Community
Futures Development Centre reported financial benefit to the local
business community from the 2004 festival at over $30 million.
